The requirements put forward in Document No. 12 of 03 are based on years of experience and experience, and the main purpose is to ensure that the workers are properly resettled, effectively protect the legitimate rights and interests of the workers, and ensure the smooth implementation of the closure and bankruptcy of the enterprise. The labour and social security departments have taken on important responsibilities in this work.

In order to implement the spirit of Document No. 12, the National Leading Group for Enterprise Merger and Bankruptcy and Reemployment of Employees issued the Notice on Preliminary Preparations for the Resettlement of Employees of Closed and Bankrupt State-owned Enterprises ([2003] No. 4), proposing that 'for the closure and bankruptcy of enterprises such as coal, metals, and military industry, which are delegated by the central government, the province (autonomous region, municipality directly under the Central Government) where the enterprise is located shall be responsible for the closure and bankruptcy of the central government The labor and social security department is responsible for organizing the review of the employee resettlement plan, and further clearly stated that the national leading group will not review the request without the review opinion of the local labor security. Since the bankrupt enterprise is insolvent, it is inevitable that part of the debts payable cannot be repaid, that is, the debt repayment rate of the bankrupt enterprise cannot reach 100 percent, and the consequence is that part of the legitimate interests of the creditors of the bankrupt enterprise will be harmed. In the process of enterprise bankruptcy, the following interests may be damaged: the rights and interests of employees' labor remuneration, the rights and interests of state taxation, and the creditor's rights of bankrupt enterprises. Among them, the labor remuneration rights and interests of employees of bankrupt enterprises are the focus of our discussion at this meeting.

Under the planned economic system for many years, there have been extremely close ties between workers and enterprises, and enterprises have not only provided jobs for workers, but have even arranged for the birth, old age, sickness and death of workers. In such a historical context, no one has been most affected by the bankruptcy of enterprises than the employees of enterprises. To a certain extent, they will lose jobs, benefits, health care and even livelihood. Therefore, in some enterprise bankruptcy cases that we have encountered, there have been varying degrees of opposition to enterprise bankruptcy by employees of enterprises, and there have even been acts of employees who have certain factors of social instability, such as marching and petitioning because of their opposition to enterprise bankruptcy. Therefore, we strongly feel that the most difficult issue in handling enterprise bankruptcy cases and the issue that requires the most attention is not the liquidation and distribution of the property of the bankrupt enterprise, but the proper resettlement of the employees of the bankrupt enterprise. In the process of enterprise bankruptcy, properly resettling workers in accordance with the provisions of the existing law is the most important task in the trial of enterprise bankruptcy cases. Only when the workers and workers are properly and responsibly resettled can the bankruptcy of enterprises proceed smoothly, can the emergence of factors of social instability be avoided, and can unqualified enterprises be eliminated in the market mechanism, so that the socialist market economy can move toward a virtuous circle.

It is precisely on the basis of the above considerations that the relevant laws of the state have also made provisions in favor of employees in the system of property distribution of bankrupt enterprises. Article 204 of the Civil Procedure Law of the People's Republic of China stipulates that after the bankruptcy estate has given priority to the payment of bankruptcy expenses, it shall be repaid in the following order: 1. The wages and labor insurance fees owed by the bankrupt enterprise; 2. Taxes owed by the bankrupt enterprise; 3. Bankruptcy creditor's rights. This provision lists the wages and labor insurance expenses owed by bankrupt enterprises to their employees in the highest priority position for repayment, which reflects the priority protection given by the law to the employees of bankrupt enterprises. For example, Article 9 of the Interim Provisions on the Bankruptcy of State-Owned Enterprises in Beijing stipulates that the state-owned land use rights obtained by enterprises by way of allocation shall not be included in the bankruptcy estate. The bankruptcy of the enterprise is a serious shortage of expenses for the resettlement of employees and compensation for the termination of labor contracts. 3.
